Terms of Service
These Terms of Service govern services provided by King Lyon Consulting LLC, doing business as Market. Scale. Now. By purchasing, using, or engaging Market. Scale. Now. for services, the client agrees to the terms listed below.
For purposes of this agreement, “Market. Scale. Now.,” “MSN,” “we,” “our,” or “us” refers to King Lyon Consulting LLC DBA Market. Scale. Now.
SECTION 1: SERVICES PROVIDED
Market. Scale. Now. provides marketing strategy, website design, CRM setup, automation, campaign planning, consulting, lead capture systems, SEO, AEO, email and SMS campaigns, reputation systems, business audits, and related digital marketing services.
Specific services, deliverables, timelines, pricing, and responsibilities may be outlined in a proposal, invoice, intake report, service agreement, or written project scope.
SECTION 2: CLIENT RESPONSIBILITIES
The client is responsible for providing accurate business information, timely feedback, access credentials, brand assets, content, approvals, payment information, and any materials needed to complete the project.
Delays in providing required information, approvals, platform access, or content may delay project timelines.
Market. Scale. Now. is not responsible for delays caused by the client’s failure to provide required materials or approvals.
SECTION 3: PAYMENTS AND FEES
All fees must be paid according to the invoice, proposal, service agreement, or payment terms provided to the client.
Certain services may require an initial payment, deposit, subscription fee, setup fee, hosting fee, or recurring monthly payment.
Market. Scale. Now. reserves the right to pause work, suspend services, delay deliverables, or restrict access if payments are late, declined, disputed, or unpaid.
SECTION 4: $75 HOSTING FEE
Certain website builds, including promotional or free website build offers, may require a $75 monthly hosting fee.
The $75 hosting fee covers hosting access and related platform availability. This fee does not include all possible usage overages, third-party fees, app fees, SMS, email, voice, domain costs, premium integrations, or other outside costs unless specifically stated in writing.
The client is responsible for keeping hosting payments current.
Failure to pay hosting fees may result in website suspension, loss of access, or interruption of services.
SECTION 5: SMS, EMAIL, VOICE, AND DATA OVERAGES
The client is responsible for all usage-based overages related to SMS, email, voice, calling, data usage, platform messaging, phone numbers, AI usage, automation usage, or any other metered platform service.
Usage-based charges may vary depending on the client’s activity, campaigns, automation volume, communication volume, and selected platform features.
Market. Scale. Now. is not responsible for overages generated by the client’s use of SMS, email, voice, calling, automation, or related communication tools.
SECTION 6: FREE WEBSITE BUILD ELIGIBILITY
Free website builds are promotional offers and are only available to qualifying clients who use Market. Scale. Now.’s approved merchant processing services.
If the client does not use, connect, maintain, or remain approved for the required merchant processing services, the client may no longer qualify for the free website build offer.
Market. Scale. Now. reserves the right to charge standard website build fees if the client does not meet or maintain the requirements of the free website build offer.
Free website build offers may still require hosting fees, third-party costs, usage fees, merchant processing requirements, or other costs disclosed at the time of service.
SECTION 7: MERCHANT PROCESSING REQUIREMENT
Certain offers, tools, payment systems, dual pricing systems, or free website builds may require the client to use MSN-approved merchant processing services.
The client understands that merchant processing approval may be subject to underwriting, compliance review, account approval, payment processor rules, and applicable laws.
Market. Scale. Now. does not guarantee merchant account approval.
If merchant processing is required for a specific offer and the client does not complete or maintain the required merchant processing setup, MSN may revise the offer, pause the project, or charge standard service fees.
SECTION 8: REFUND POLICY
There are no refunds for completed services.
Once work has been completed, delivered, implemented, designed, configured, built, written, strategized, reviewed, or otherwise performed, payment for that completed work is non-refundable.
This includes, but is not limited to:
- Website design work
- Strategy work
- Intake reports
- Audits
- CRM setup
- Automation setup
- Campaign planning
- Copywriting
- SEO work
- AEO work
- Graphic design
- Consulting
- Training
- Technical configuration
- Any completed portion of a project
SECTION 9: TRY IT AND APPLY IT GUARANTEE
Market. Scale. Now. offers a “Try It and Apply It Guarantee” on eligible services.
In the first 30 days after receiving an intake report or strategic recommendations, the client must make a good-faith effort to apply the suggested recommendations and try the recommended actions.
If, after applying the suggested recommendations and trying the plan for 30 days, there is no measurable improvement or reasonable progress, the client may request a refund only for work that has not yet been completed.
Refunds are not available for work that has already been completed, delivered, implemented, configured, designed, written, reviewed, or performed.
To request review under the Try It and Apply It Guarantee, the client must:
- Submit the request in writing within the first 30 days
- Show that the recommendations were applied or reasonably attempted
- Provide details about what was tried
- Explain where no improvement occurred
- Allow Market. Scale. Now. to review the work completed and the work not yet completed
Market. Scale. Now. reserves the right to determine what portion of work, if any, remains incomplete and eligible for refund consideration.
The guarantee does not apply to hosting fees, usage fees, SMS/email/voice overages, third-party fees, merchant processing fees, domain fees, platform fees, completed work, or costs paid to outside providers.
SECTION 10: CLIENT APPROVALS AND COMPLETED WORK
Work may be considered completed when it has been created, delivered, implemented, published, configured, drafted, designed, reviewed, or made available to the client.
Client approval, use, launch, publication, or failure to request changes within a reasonable timeframe may be treated as acceptance of the completed work.
Completed work is non-refundable.
SECTION 11: SNAPSHOTS, TEMPLATES, AUTOMATIONS, AND SYSTEM BUILDS
Any CRM snapshots, workflows, templates, automations, funnels, forms, calendars, pipelines, triggers, campaigns, layouts, system structures, proprietary frameworks, or platform configurations created by Market. Scale. Now. remain the property of Market. Scale. Now. unless otherwise agreed in writing.
Snapshots built by the MSN team are owned by Market. Scale. Now. and will not be transferred, exported, sold, duplicated, or released to the client as standalone assets.
Clients may receive access to use systems, snapshots, templates, and workflows within the active service environment as long as the account is active and in good standing.
Ownership of the underlying proprietary build, structure, logic, snapshot, framework, automation design, and system architecture remains with Market. Scale. Now.
SECTION 12: INTELLECTUAL PROPERTY
Market. Scale. Now. retains ownership of proprietary methods, frameworks, systems, templates, workflows, snapshots, strategies, processes, automation logic, and internal tools used to deliver services.
Client-owned materials, such as logos, brand assets, business information, photos, videos, and original client content provided by the client, remain the property of the client.
Final public-facing deliverables may be used by the client for their business once all required payments are current, unless otherwise stated in writing.
SECTION 13: THIRD-PARTY PLATFORMS AND SERVICES
Market. Scale. Now. may use third-party platforms, including but not limited to website hosting platforms, CRM systems, payment processors, email tools, SMS tools, voice tools, analytics tools, automation platforms, domain providers, and advertising platforms.
The client is responsible for complying with all third-party platform rules, terms, fees, and requirements.
Market. Scale. Now. is not responsible for outages, policy changes, account suspensions, approval delays, deliverability issues, or service interruptions caused by third-party platforms.
SECTION 14: A2P, SMS, EMAIL, AND COMMUNICATION COMPLIANCE
Clients using SMS, email, voice, or automated communication tools are responsible for maintaining proper consent, opt-in records, compliant messaging practices, and adherence to applicable communication laws and platform rules.
Market. Scale. Now. may assist with setup, but the client remains responsible for lawful and compliant use of their contact lists and communication systems.
MSN reserves the right to pause or disable messaging workflows that appear to violate compliance rules, platform policies, or acceptable use standards.
SECTION 15: RESULTS AND PERFORMANCE
Market. Scale. Now. provides strategy, systems, creative work, implementation, and recommendations designed to improve marketing infrastructure and business performance.
However, MSN does not guarantee specific revenue results, search rankings, lead volume, sales outcomes, conversion rates, ad performance, customer behavior, review volume, or business growth.
Results depend on many factors, including the client’s offer, market, budget, follow-up, sales process, staff performance, service quality, reputation, competition, and implementation.
SECTION 16: SERVICE TIMELINES
Project timelines are estimates unless specifically guaranteed in writing.
Timelines may be affected by client delays, revisions, third-party platform issues, payment delays, missing information, approval delays, compliance reviews, or technical limitations.
Market. Scale. Now. will make reasonable efforts to complete work in a timely manner, but is not responsible for delays outside its control.
SECTION 17: REVISIONS AND SCOPE CHANGES
Services include only the work described in the agreed proposal, invoice, service agreement, or written scope.
Additional requests, major revisions, new pages, extra automations, added campaigns, additional integrations, custom development, or changes outside the original scope may require additional fees.
Market. Scale. Now. reserves the right to provide a new quote for out-of-scope work.
SECTION 18: ACCOUNT ACCESS AND SERVICE SUSPENSION
Market. Scale. Now. may suspend services, pause work, restrict platform access, or remove access to managed systems if:
- Payments are overdue
- Fees are disputed or reversed
- Required hosting fees are unpaid
- The client violates these terms
- The client misuses systems or platforms
- The client violates compliance rules
- The account creates legal, financial, or reputational risk
Service may resume once the issue is resolved, at MSN’s discretion.
SECTION 19: CANCELLATION
Clients may cancel ongoing services according to the cancellation terms provided in their agreement, invoice, subscription terms, or written service arrangement.
Cancellation does not eliminate responsibility for unpaid balances, completed work, usage overages, hosting fees, platform fees, third-party costs, or other amounts already incurred.
Completed work remains non-refundable.
SECTION 20: LIMITATION OF LIABILITY
To the maximum extent permitted by law, Market. Scale. Now. and King Lyon Consulting LLC shall not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages.
The client agrees that MSN’s total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim, excluding third-party fees, hosting fees, overages, usage costs, and completed non-refundable services.
SECTION 21: GOVERNING LAW
These Terms of Service shall be governed by the laws of the State of Mississippi, without regard to conflict of law principles.
Any disputes arising from these terms or services provided by Market. Scale. Now. shall be handled in accordance with applicable Mississippi law.
SECTION 22: CHANGES TO THESE TERMS
Market. Scale. Now. may update these Terms of Service from time to time.
Updated terms may be posted on this page with a revised effective date. Continued use of services after updates means the client accepts the updated terms.
